Due diligence is the stage of a business sale where a buyer examines the business in detail before committing to the transaction. Understanding what buyers focus on during this process helps sellers prepare more effectively and manage the process with greater confidence.
Financial performance is the starting point for most buyers. They will review profit and loss statements, tax returns, and balance sheets — typically for the past two to three years. Buyers look for consistency, clear trends, and figures that can be independently verified. Unexplained variations or discrepancies between reported and actual performance will raise questions.
Customer and revenue concentration is a common area of scrutiny. A business where a significant portion of revenue comes from a small number of customers carries a higher risk profile. Buyers will want to understand the nature of those relationships and whether they are likely to continue post-sale.
Operational dependencies are carefully assessed. If the business relies heavily on the owner's personal relationships, technical knowledge, or day-to-day involvement, buyers will factor this into their assessment of risk and value.
Contracts and agreements — including leases, supplier arrangements, customer contracts, and employment agreements — will be reviewed. Buyers want to understand what obligations transfer with the business and whether key arrangements are transferable.
Regulatory compliance, licences, and permits relevant to the business will be examined. Any outstanding issues or pending renewals should be addressed or disclosed before due diligence begins.
